Vedder is pleased to announce it advised Avora Residences LLC, the next evolution in modern-day residential cruising, in connection with its organization and equity financing and the long-term charter of its first vessel, the 496-passenger ultra-luxury cruise vessel SEVEN SEAS NAVIGATOR, from an affiliate of Norwegian Cruise Line Holdings Ltd. operating under the Regent Seven Seas Cruises brand.
The vessel will be delivered in late 2027, upgraded for residential cruising and relaunched in early 2028 as AVORA LUMINA.
Vedder advised Avora Residences LLC in all phases of the transaction, from its formation and the incorporation of its parent to its equity financing and the negotiation of the charter agreement with Norwegian Cruise Lines, in each case drawing upon Vedder’s legal expertise in maritime, corporate structuring, securities regulation, tax and intellectual property.
The Vedder legal team was led by Global Transportation Finance Shareholder John F. Imhof Jr., with assistance from Associates John H. Geager and Ruby K. Hersch. The deal team also included Securities & Capital Markets Shareholder Anthony J. Renzi Jr. and Associate Juliette M. Todd; Tax Shareholder Andrew Falevich; and Intellectual Property Shareholder John K. Burke.
“We were extremely happy to assist our colleagues at Avora Residences in navigating the company’s formation and initial fund raising,” said Vedder Shareholder John F. Imhof Jr. “Avora Residences is well positioned for growth in both the near- and long-term future. It was also a pleasure working with Avora Residences on the chartering of SEVEN SEAS NAVIGATOR. We look forward to her delivery and upgrades and wish her and all of her residents and crew fair winds and following seas as she enters service as AVORA LUMINA in early 2028.”
