Nicholas Zlevor, a member of the Financial Institutions and Finance & Transactions groups, advises banks, credit unions, trust companies, non-bank financial institutions, and non-bank lenders on regulatory compliance, mergers and acquisitions, and corporate governance.

His practice includes guiding clients through complex licensing projects, including money-services-business approvals, and advising on fair lending, CRA, anti-money-laundering and Bank Secrecy Act requirements, state and federal consumer-finance matters, and unfair or deceptive acts and practices (UDAP/UDAAP) considerations.

He regularly represents accounting firms in transactions involving the acquisition of accounting practices; federal and state regulatory issues; risk management; drafting partnership agreements, shareholder agreements, and limited liability company agreements; independence investigations; succession planning; and PCAOB and SEC compliance. He also assists accounting firms and related entities with multi-state licensing and registration matters, ownership and control analyses, governance updates, and ongoing compliance with AICPA rules and state board of accountancy regulations.

Experience

  • Represented Bancorp Financial, Inc., and its wholly-owned subsidiary, Evergreen Bank Group, in their merger transaction with Old Second Bancorp, Inc. and its wholly-owned subsidiary, Old Second National Bank. At the time of the announcement, the cash and stock transaction was valued at approximately $197 million.
