Misha Daha represents closed-end funds as borrowers and investment and commercial banks as lenders in large-scale financing transactions. Respected for her market knowledge and commercial approach, she focuses on structuring and negotiating loan transactions that achieve her clients’ business objectives efficiently.
Misha has substantial experience advising clients on net-asset-value loan facilities, subscription/capital call loan facilities, hybrid and umbrella financings for funds and other secured and unsecured lending transactions. Additionally, she guides lenders and private equity funds through acquisition financings, receivables loan facilities, general corporate loans and a wide variety of letter-of-credit facilities and revolving credit facilities for insurers and reinsurers, including “Funds at Lloyd’s (FAL)” facilities.
Clients also rely on Misha to advise on the Uniform Commercial Code, security and collateral issues in financings. Having handled a large volume of complex fund financings and other corporate financings, Misha takes a practical approach, streamlines negotiations, and focuses on securing favorable terms and closing transactions smoothly and on time.
Before joining Vedder, Misha worked at two other large law firms, where she handled numerous large-scale and cross-border financings. She brings that experience to bear in representing her clients at Vedder.
Experience
- Advised a private equity fund on a $60 million umbrella NAV loan facility severally secured by portfolio assets of affiliated funds.
- Advised a private equity fund and its portfolio entities in a $900 million acquisition term loan facility.
- Advised a client in a $300 million revolving facility secured by general partner carried interest distributions from underlying funds.
- Advised a private credit fund in structuring a $150 million umbrella loan facility with multiple loan tranches and secured by underlying portfolio assets of its bankruptcy remote special-purpose entities.
- Represented a lender in a number of bilateral and syndicated revolving credit and letter of credit loan facilities ranging from $150 million to $435 million provided to large insurance and reinsurance companies, which involved negotiation of insurance sector specific loan provisions.
- Advised the first vintage of a new private closed-end fund, negotiating and securing terms of a subscription credit loan facility to finance its investments. The transaction involved substantial structuring advice.
- Represented a private equity fund as a lender to a company purchasing assets in a Section 363 bankruptcy sale, negotiating the loan transaction, which included another senior facility and an intercreditor agreement.
