Megan Jones is a highly skilled tax lawyer and a former investment banker who helps individuals, family offices and businesses navigate complex tax issues successfully. Combining a business-minded approach with cross-border experience and a results-driven focus, she structures tax-efficient transactions and tax plans while minimizing conflict.

Megan’s practice encompasses tax-efficient entity structuring, partnership and digital asset planning, and guidance through pre- and post-liquidity events. Startups, founders and established businesses rely on her for tax guidance on investments, cross-border mergers and acquisitions and going public. She helps clients manage complex holdings, private capital and multijurisdictional structures, advises on evolving tax regulations, and guides them from the startup phase through going public, domestic and international compliance, tax minimization and wealth preservation strategies.

Well-versed in the technology and energy sectors with extensive practical experience, Megan advises on energy taxes and credits, and novel issues and tax considerations involving emerging technologies, including digital assets, blockchain technology and NFTs.

I’m a responsive, results-driven problem solver focused on resolving tense or sensitive situations quickly with minimal drama.

Experience

  • Restructured a billion-dollar family office to achieve a better income and estate tax outcome. Addressed the complicated fund structure that was founded by the family but also had outside investors, simplifying the structure, avoiding intergenerational conflict and excess estate tax and enabling the client to expand the investment options for the family while continuing to raise outside capital.
  • Restructured a fast-growing startup business to increase tax efficiency and to meet venture capital investor expectations. Helped the client avoid being taxed on restructuring the conversion of the complex and poorly structured existing entity while also creating an entity to entice major venture capital firms and close the related financing.
  • Handled fundraising documents for distressed high-profile company verging on bankruptcy that wanted to bring in outside investors. Worked with the company’s counsel to ensure the transaction closed with a good valuation and workable terms.
  • Handled estate planning and estate administration for a household name celebrity before and after his death.
  • Conducted a tax review of a private equity fund with U.S. and international investors to enable the client to close the transaction quickly while also allowing flexibility for the investors.
  • Determined (with the client’s accountant) the U.S. tax treatment of a complex offshore entity with U.S. and non-U.S. partners after a recognition event transaction. The entity had been in existence for over 20 years with inadequate recordkeeping and changes of ownership during the life of the entity, creating complications with the calculations. The client had been remiss in doing accurate and timely tax filings. Helped the client ensure the situation did not create further potential liability.
  • Set up complex foreign trust for non-U.S. person with U.S. citizen children and a combination of U.S. and non-U.S. assets, minimizing U.S. estate and income taxes while also creating an effective long-term estate plan for the client’s family.
  • Determined income tax treatment of a complicated token-based business model for a startup company in the digital assets space.
