Denise Tormey helps clients raise capital, buy or sell businesses, manage investments and navigate complex corporate and regulatory matters.
Drawing on more than 25 years of experience in financing and strategic transactions, she works closely with private equity funds, portfolio companies, founders, lenders, public and private companies and independent board committees to develop thoughtful solutions that meet their financial, operational and governance goals.
With clients across the United States, Europe and Canada, and in industries such as online retail, travel, cable television, cosmetics and skincare, data privacy and technology, Denise is skilled at managing complex multi-party transactions and cross-border deals. She advises clients on private equity and venture capital investments, fund financing structures, asset-based lending and public and private offerings of debt and equity securities. She also guides clients through M&A transactions involving intellectual property, regulated industries, Chapter 11 asset sales, rollover equity, earnouts, post-closing transitions, corporate governance, compliance and disclosure issues.
Denise serves as general corporate counsel for several companies and acts as special counsel to independent board committees in internal investigations and related-party transactions, demonstrating leadership in corporate and financial advisory matters. Aiming to minimize risk while maximizing value for shareholders, investors and other stakeholders, Denise leverages her experience in finance, M&A and corporate advisory work to streamline and accelerate deal execution.
