Experience
- Represented a client in connection with a complicated tax dispute regarding corporate reorganization prior to closing a deal to purchase a company. The dispute involved conflicting interpretations of the purchase agreement and corresponding indemnification obligations for post-closing tax liability.
- Secured a multimillion-dollar settlement for a client with its insurance carrier in connection with a coverage dispute following a multinational product recall.
- Represented a manufacturer in seeking emergency injunctive relief against a supplier in a contract dispute. Timing was important in ensuring the client could continue to receive supplies from the supplier during the client's busiest season. We negotiated a multimillion-dollar resolution that provided the client with several layers of protection and allowed for a continued relationship with the supplier.
- Successfully defended clients against fraud claims in connection with representations and warranties made at the closing.
