Andrew Harris guides private equity firms, entrepreneurs, high-net-worth individuals, portfolio companies, and management teams through complex financial and corporate transactions.

With commercial, solutions-focused legal advice, he helps his clients achieve strategic growth, drive value and successfully close a range of M&A transactions, including new platform deals, bolt-on acquisitions, management incentive programmes and exits.

Andrew’s core practice encompasses structuring and negotiating share and asset purchases, company disposals, management buyouts/buy-ins, joint ventures and buy-and-build strategies. His practice spans both domestic and cross-border transactions, with a particular focus on the UK and Europe, delivering creative, business-focused, cost-effective solutions to optimise outcomes.

His calm, strategic yet practical negotiation style often helps accelerate deal flow and preserve value in high-pressure environments.

Before joining Vedder, Andrew served as London managing partner and as a private equity and M&A partner at an Am Law 100 firm and as EMEA head of private equity at a top global law firm.

Experience

  • Advised the majority shareholders of NewTerritory on its highly structured acquisition by U.S.-based company Geniant LLC, ensuring the seamless integration of the London brand experience studio into the group’s international operations.
  • Structured and executed the divestiture of BigChange to Great Hill Partners and advised on the subsequent sale by the founder shareholders to Simpro Group, delivering cross-border SaaS transactions, in each case, in expedited timetables.
  • Handled the sale by Bregal Capital / EMK Capital of QA to CVC, achieving a landmark private equity exit recognized as Real Deal’s “Grand Prix Deal of the Year 2018” and “UK Mid-Cap Deal of the Year 2018.”
  • Advised EMK Capital on the secondary management buyout of outsourced recycling and resource management services business Reconomy Group.
  • Handled the original MBO of Williams Advanced Engineering by EMK Capital from Williams F1 and the subsequent £222 million cross-border sale to Fortescue Metals Group.
  • Represented EMK Capital in Stelrad Radiator Group’s dual-track complex exit valued at approximately £275 million, guiding it through the private sale auction.
